VoiceMochi license agreement

1. Purpose and acceptance

This agreement is between you and MochiApp LLC, a limited liability company organized under the laws of the State of Wyoming, 30 N Gould St Ste R, Sheridan, WY 82801, United States (“we”). It governs your use of the VoiceMochi app for Mac, its updates and its documentation (“the app”). By installing or using the app, you accept this agreement. If you don't accept it, don't install the app, or delete it.

2. Your license

We grant you a personal, non-exclusive, non-transferable license to install and use the app on a Mac you own or control, for personal or professional purposes, in line with this agreement.

3. What you may not do

• sell, rent, lend or distribute the app;
• distribute a modified version of the app;
• decompile, disassemble or try to obtain the app's source code, except to the extent the law expressly allows it, for example for interoperability;
• get around the app's technical protections or use its transcription service outside the app;
• use the app to record people without their knowledge, or to produce illegal content;
• use the VoiceMochi name, the Mochi mascot or the logo in a way that suggests a connection with us.

4. Ownership

The app is licensed, not sold. We remain the owners of the app, its code, its name, its mascot and its logo. All rights not granted to you in this agreement remain ours. The text you dictate and your meeting notes belong to you.

5. Online service and content

Transcription, cleanup, translation, transforms and meeting notes rely on an online service. They need an internet connection and may be unavailable, slowed down or changed. The privacy policy explains what data is sent and to whom.

Transcripts and generated text are produced automatically and may contain mistakes: a misheard word, a rough translation, an incomplete summary. Read what Mochi writes before sending it or relying on it for a decision. You remain responsible for what you dictate, what you send and how you use it.

6. Recording meetings

Meeting notes record your voice and the other participants' voices. Before taking notes, you must tell the participants and, where the law requires it, get their consent. You alone are responsible for complying with the rules on recording conversations in your country and in the participants' countries.

7. Warranty

The app is provided “as is”. To the fullest extent permitted by law, we give no warranty, express or implied, including of merchantability, fitness for a particular purpose, accuracy of transcripts or translations, or continuous availability of the service. This clause doesn't reduce any warranty that the law of your country gives you and that can't be waived.

8. Limitation of liability

To the fullest extent permitted by law, we are not liable for:

• the consequences of an incorrect text, translation or set of notes that you sent or used without reading it;
• a meeting recording made without the participants' consent;
• indirect damages, such as loss of revenue, business or time.

If we are nevertheless held liable, our liability is limited to 50 U.S. dollars.

These limits don't apply in case of intentional misconduct or gross negligence on our part, personal injury, or where the law of your country of residence forbids limiting or excluding liability.

9. Changes and updates

We may change the app, add, modify or remove features, and release updates. This agreement also applies to updates, unless they come with different terms. If new terms were to apply, they would be shown to you first, and you would be free to accept them or not.

We may change this agreement. The current version is published on this page with its date; if a change is significant, we'll let you know in the app.

10. Termination

You can end this agreement at any time by deleting the app. If you don't comply with this agreement, your license ends automatically and you must delete the app. We may suspend access to the online service in case of abuse or use contrary to this agreement.

Sections 4, 7, 8 and 11 survive termination.

11. Governing law and disputes

This agreement is governed by the laws of the State of Wyoming, United States. If you are a consumer, you keep the benefit of the mandatory provisions of the law of your country of residence, and you may bring a claim before the courts where you live. Before taking any action, write to us: we'd rather settle things amicably.

If any clause of this agreement is found unenforceable, the others remain valid.
